Terms and Conditions of Play

These terms and conditions constitute a legally binding agreement between Goalz Limited and You the user of the v Game and account services and govern Your use of the Goalz Limited website (the "Goalz Website"). By opening an account (an "Account") with Goalz Limited You agree to be bound by the following terms and conditions and the rules of the Game as shown on the Goalz Website (the "Game Rules"). If You do not agree with these terms and conditions please do not register for or use the Goalz Website.

1. Interpretation

1.1 The original text of these terms and conditions is in English and any interpretation of them will be based on the original English text. If these terms and conditions or any documents or notices related to them are translated into any other language, the original English version will prevail.

1.2 The Goalz Website is owned and operated by Goalz Limited a company registered in England under registration number 05872830 and whose registered office is One Friar Street, Reading RG1 1DA.

1.3 The use of "You" and "Your" in these terms and conditions means the user of the Game and the Goalz Website.

1.4 The "Game" means the goals forecasting game played by You using the Goalz Website where You have the chance to win a cash prize by picking from a pre-selected list a selection of football matches which You think will produce the highest number of goals scored

2. Use of the Game

2.1 To open an Account on the Goalz Website and play the Game You must be over 18 years of age and the right to void any transactions with minors is retained. You must ensure all details provided by You at any time are true, complete and correct and inform us immediately of any changes to the details You provide.

2.2 Access to or use of the Goalz Website may not be legal for some or all residents of or persons in certain countries. Goalz Limited does not intend that its website should be used by persons in countries in which the Game or similar such activities would be considered illegal. The Goalz website does not constitute an offer, solicitation or invitation by Goalz Limited for the use of or subscription to the Game, an Account or other services in any jurisdiction in which such activities are prohibited by law.

2.3 It is Your responsibility to determine the law that applies in the location in which You are present. You should ensure that You are acting legally in that jurisdiction in subscribing as an individual customer of Goalz Limited and You represent, warrant and agree that You will do so.

2.4 Goalz Limited may in its absolute discretion, alter or amend or withdraw the Game or any part of it, at any time, and may alter prices, features, specifications, capabilities, functions and/or other characteristics of the Game

3. Your use of the Goalz Website

3.1 You shall use the Goalz Website only for personal entertainment and not for any business or commercial purpose.

3.2 You shall not interfere with, or attempt to modify the Goalz Website.

3.3 It is Your responsibility to ensure that details of Your Games are correct.

3.4 You will not be entitled to a refund once You have submitted Your payment for playing the Game. The provisions regarding the right to cancel under the Consumer Protection (Distance Selling) Regulations 2000 shall not apply.

3.5 You may not use the Goalz Website for any of the following purposes:

3.5.1 disseminating any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material or otherwise breaching any laws;

3.5.2 transmitting material that encourages conduct that constitutes a criminal offence, or otherwise breaches any applicable laws, regulations or codes of practice;

3.5.3 interfering with any other person’s use or enjoyment of the Goalz Website; or

3.5.4 making, transmitting or storing electronic copies of materials protected by copyright without the permission of the owner.

3.5 You will be responsible for any losses suffered by Goalz Limited or its agents that result from Your breach of this clause 3.

4. Exclusion of Liability

4.1 To the extent not prohibited by law Goalz Limited shall not be liable to You or to any third party for claims in relation to these terms and conditions or Your use of the Game or Your Account.

4.2 To the extent not prohibited by law, Goalz Limited shall not be liable for any indirect, punitive, special, incidental or consequential loss in connection with or arising our of these terms and conditions or Your use of the Game, Your Account or the Goalz Website (including loss of revenue, profits, use, data or other economic advantage).

5. Breach of the Terms and Conditions

5.1 You shall indemnify Goalz Limited, its employees and agents, and Goalz Limited’s software providers, employees and agents, from all and any claims, liabilities, costs, expenses (including legal fees) and any other charges whatsoever that may arise as a result of Your breach of these terms and conditions or the rules of the Game or any breach by You or by any other person using Your Account (whether or not authorised by You) of any laws of any jurisdiction which is applicable to You, or Your use of the Game or any such other person using Your Account.

5.2 In addition to any other remedy available, if in its reasonable opinion Goalz Limited believes that a breach of these terms and conditions has contributed or caused You to accumulate winnings Goalz Limited reserves the right to withhold those winnings whilst an investigation is carried out into the alleged breach.

5.3 Following the investigation referred to in clause 5.2 if Goalz Limited (acting reasonably) judges a breach of these terms and conditions to have resulted in You obtaining winnings to which You would not otherwise have been entitled Goalz Limited may retain those winnings.

6. Intellectual Property Rights

6.1 All intellectual property rights in the Goalz Website remain with Goalz Limited including images, animations, audio, text, music, design and programming. All intellectual property rights in the name Goalz Goalz Goalz or any other name used by Goalz Limited belong to Goalz Limited.

6.2 The content of the Goalz Website is protected by copyright, trade marks, database right and other intellectual property rights. You may retrieve and display the content of the Goalz Website on a computer screen. You may not otherwise reproduce, modify or copy or distribute or use for commercial purposes any other materials or content on the Goalz Website without written permission of Goalz Limited.

7. IT

7.1 The Game and the Goalz Website are provided to You as is without warranty as to their suitability. If the Game or the Goalz Website do not work properly or if an error is made by Goalz Limited or its employees or agents, neither Goalz Limited nor its employees or agents shall be liable for any loss including loss of winnings that results. You will not be entitled to any alleged winnings that result from any error in the Game or the Goalz Website. If any such error results in any increase in winnings to You, You must immediately repay the increase in winnings to Goalz Limited and Goalz Limited may recover such increase from You.

7.2 Goalz Limited and its employees and agents accept no responsibility or liability for any damage or loss which may result from, or be alleged to have resulted from, this website, or its content, including delays or interruptions in operation or transmission, loss or corruption of data, communication or lines failure, any person’s misuse of the Goalz Website or its content or any error or omissions in content.

7.3 Goalz Limited does not make any warranties or guarantees in relation to the content and information provided from advertising, sponsorship or from other internet sites displayed on its website and is not responsible for any losses suffered by You as a result of Your use of the content and/or information.

8. Disputes

8.1 Goalz Limited shall (acting reasonably) determine any claims/disputes raised by You and its decision shall be final and binding.

8.2 In the event of any dispute both You and Goalz Limited agree that the records of the server shall where it is appropriate (in the reasonable opinion of Goalz Limited) for them to be referred to be deemed to be correct.

9. Your Account

9.1 After opening Your Account Your username, password and account number must remain confidential and You must not disclose them or share them with any other person. All transactions where Your username and password have been entered correctly will be regarded as valid, whether or not authorised by You, and Goalz Limited shall not be liable for any claims in the event that You give away, tell, share or lose Your username, password or account number. If You know or suspect that someone knows Your password or other account information You should notify Goalz Limited immediately.

9.2 If Goalz Limited, its employees or agents have reason to believe that there is or is likely to be a breach of security of the Goalz Website You may be required to change Your password and Goalz Limited reserves the right to suspend Your Account.

9.3 You agree to deposit money into Your Account and that the money may be used for the purpose of playing the Game and the payment of any taxes and administration fees charged by Goalz Limited. Your Account may not at any time become overdrawn, and shall at all times have a credit balance.

9.4 Any money held in Your account shall not attract any interest.

9.5 All information on Your Account held by Goalz Limited is securely data warehoused and remains confidential except where otherwise stated in these terms and conditions.

9.6 Goalz Limited may at any time set off any positive balance on Your Account against any money owed by You to Goalz Limited.

9.7 You are responsible for reporting Your winnings and losses, if such reporting is required by Your local law or tax or other authorities

9.8 Goalz Limited reserves the right to suspend or cancel Your Account immediately at its reasonable discretion without offering any explanation, or if You breach any of Your obligations under these terms and conditions.

9.9 You may cancel Your Account at any time by informing us in writing at 49 Newbery Close, Tilehurst, Reading, RG31 6JN [email or other contact address]. If You do so You must stop using the Goalz Website.

9.10 The suspension or cancellation of Your registration and Your right to use the Goalz Website shall not affect either party’s statutory rights or liabilities.

10. Payment of Winnings

10.1 Payment of any prize money You win will be made into Your Account within fourteen days of the day of the last football match to be played from the relevant week’s selection list.

10.2 Once money has been deposited in Your Account you are entitled to request that all or any amount of money held in Your Account be transferred to You, and we will comply with that request as soon as practicable.

11. Changes to the Service and Amendments to the Terms and Conditions

11.2 If any part of these terms and conditions is deemed unlawful, void or for any reason unenforceable, then that part shall be deemed to be severable from the rest of these terms and conditions and shall not affect the validity and enforceability of the remaining provisions of these terms and conditions. In such cases, the part deemed invalid or unenforceable shall be amended in a manner consistent with the applicable law to reflect, as closely as possible, Goalz Limited’s original intent.

12. Law and Jurisdiction

This agreement shall be governed by and interpreted in accordance with English Law and the courts of England and Wales shall have exclusive jurisdiction over and disputes arising out of these terms and conditions.

13. Miscellaneous

13.1 You may not transfer any of Your rights and obligations under these terms and conditions to any other person. Goalz Limited may transfer its rights under these terms and conditions to another business where it reasonably believes Your rights will not be adversely affected.

13.2 If You breach these terms and conditions and Goalz Limited chooses to ignore this, Goalz Limited will still be entitled to use its rights and remedies at a later date or in any other situation where You breach the terms and conditions.

13.3 Goalz Limited shall not be responsible for any breach of these terms and conditions caused by circumstances beyond its reasonable control.
